Terms of Service

1. Scope of Services

ToolUnify provides premium digital architecture, web design, and continuous managed cloud hosting services. Our engagement typically consists of two phases: an initial digital architecture and design phase, followed by a mandatory, ongoing managed cloud hosting and maintenance phase.

2. Pricing, Payments, and strict Non-Refundable Setup Fee

We maintain a premium standard of service which requires significant upfront resource allocation. By engaging ToolUnify, you agree to the following financial terms:

• The Setup Fee (Strictly Non-Refundable): To commence the digital architecture and design phase, a one-time Setup Fee is required. This Setup Fee is strictly non-refundable under any circumstances. Once payment is processed or work has commenced, the resources, intellectual property, and time allocated to your project cannot be recovered. By paying the Setup Fee, you acknowledge and agree that you forfeit any right to a refund.
• Payment Infrastructure: All payments are processed securely via Stripe using Payment Links or direct Invoices. ToolUnify does not process or store raw credit card data on our servers. By making a payment, you agree to comply with Stripe’s Terms of Service and authorize Stripe to process your payment credentials securely.

3. Recurring Subscription and Cancellation Policy

Following the completion of the setup phase, your digital assets will be deployed on our infrastructure, and you will be automatically enrolled in our monthly Managed Cloud Hosting and Maintenance subscription.

• Billing Cycle: Subscription fees are billed monthly in advance.
• Cancellation Notice: To cancel your recurring monthly subscription, you must provide a strict 30-day (1 month) advance written notice prior to your next billing cycle.
• Cancellation Method: All cancellation requests must be submitted in writing directly to support@toolunify.com. Verbal cancellations or requests sent to other channels will not be recognized. If notice is provided less than 30 days before the next billing cycle, you will be billed for one final month.

4. Dispute Resolution and Anti-Chargeback Policy

We operate a premium service dealing exclusively in digital delivery and managed infrastructure; no physical goods are shipped. To protect the integrity of our business, we enforce a strict anti-chargeback policy:

• Mandatory Support Resolution: You legally commit to attempting to resolve any billing, technical, or service-related disputes directly with our team by emailing support@toolunify.com before initiating any chargeback or dispute with your bank, credit card provider, or payment gateway.
• Unwarranted Chargebacks: If you initiate a chargeback for a non-refundable Setup Fee or a valid subscription charge without fulfilling the 30-day cancellation requirement, ToolUnify views this as a breach of contract. In such events, we reserve the right to immediately suspend all services, revoke access to your digital assets, and submit this legally binding agreement to the payment processor or financial institution to contest the dispute.

5. Intellectual Property and Asset Ownership

ToolUnify retains full legal ownership of all digital architecture, designs, code, and related assets created during the project until all financial obligations are met.

• Transfer of Ownership: Intellectual property rights and ownership of the final digital assets transfer to you only after all invoices (including the Setup Fee and any outstanding subscription fees) are paid in full.
• Right to Suspend: If your monthly Managed Cloud Hosting subscription is canceled, unpaid, or falls into arrears, ToolUnify reserves the unequivocal right to suspend, take offline, or restrict access to the digital assets and hosting environment until the account is brought current.

6. Governing Law and Jurisdiction

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Greece and the European Union. You irrevocably agree that the courts of Thessaloniki, Greece, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
